Terms
and Conditions for Non Pay Per Click Search Engine Optimization
Packages
This agreement is between you, referred from now as "Company",
and SearchEnginePatrol.com, referred from now on as "Consultant".
The Company hereby contracts Consultant to improve the ranking
of the company's web site in the search engines in accordance
with the following terms and conditions:
1. The Company shall pay the Consultant 50% in advance.
This advance can be in the form of a check or charged online
via credit card and our secured server. The remaining 50%
is due upon submission to the search engines of the Companys
web site.
2. Upon receipt of the advance payment from the Company,
the Consultant will start optimizing the company's web site
for the search engines. Optimization includes all services
as outlined in Consultants process doc
that will be emailed to the Company upon receipt of the
advance. Such optimization will be performed by Consultant,
or if the Company prefers, Consultant can instruct the companys
webmaster on specific text and html code changes. These
changes include minor revisions to web site text, subheads
and headings so as to include those keywords approved by
the Company.
3. The Consultant agrees to perform those services as outlined
in the specific package selected:

4. The Company may choose between three packages:
Standard package
Deluxe package
Premium package
5. The Consultant, as part of the initial optimization services,
will work to obtain top 30 rankings for those keywords mutually-agreed
upon between the Consultant and the Company.
6. The Consultant shall not optimize the Company's web site
for single word keywords. The Consultant shall only optimize
the Company's web site for multiple word keywords.
In some instances, specific single and multiple word keywords
are too broad any may require further targeting or additional
investment in order to obtain top 30 rankings. (For example,
cell phones, web hosting or mutual
funds are highly competitive keywords and would command
additional investment to achieve top 30 rankings.
7. Upon completion of the Consultants initial services,
(approximately within 4 weeks from the start of the optimization
work) the Company can select the option to maintain the
high rankings achieved by the Consultant by authorizing
the Consultant to perform ongoing maintenance. Maintenance
investment is indicated in the matrix of services:

Maintenance is charged to your credit card every quarter,
100% payable in advance. (For example, maintenance for the
3rd quarter (July/August/September) would be due on July
1st.
8. The Company will directly pay Inktomi its fee for spidering
the page(s) submitted to Inktomi network that the Consultant
has optimized for the Company.
9. The company may select the Consultant to perform a Yahoo
Business Directory Submission. The price for this service
is billed at Consultants cost and is payable in advance.
10. The number of "top 30 positions" that the
consultant has obtained for the company will be calculated
on the basis of the positions that the consultant has managed
to obtained for the company's web site in the major search
engines and directories, i.e. AltaVista, AOL, Fast, Google,
Teoma/Ask Jeeves, IWon, Lycos, MSN, Netscape, Open Directory
and Yahoo!
11. The Company agrees that the Consultant will add a link
from the Companys site to the Consultants site.
The text of the link reads: Search Engine Optimization
Services by SearchEnginePatrol.com Company has the option
of adding the link in the following areas: 1) home page
(in small type, no logo); 2) links page or 3) site map.
12. The copyright to the pages created by the Consultant
will belong to the Company. However, if the Company makes
any changes to these pages without the advice of the consultant,
the Consultant will not be responsible for the consequences.
13. Because of frequent changes made by the search engines
in the methods by which they rank sites, the Consultant
does not guarantee that the search engine positions that
the Consultant has obtained for the company will be permanent.
14. In order to create the optimized pages for the Company,
the Consultant may ask the Company to provide new or additional
content related to the company's site. The Company will
promptly provide the Consultant with the content required
by the Consultant. If the Consultant must generate the needed
content, additional investment will be required.
15. Whenever the Consultant recommends certain modifications
to the design or content of the company's web site in order
to improve the position of the company's web site in the
search engines, the Company will promptly make such modifications.
16. The Consultant will not divulge information related
to the personal or financial affairs of the Company to any
third party unless specifically instructed to do so by the
Company.
17. Prices of our products and services are subject to change
without notice. Any service that is contacted for will be
honored at the price available at the time of purchase of
the Consultants services. Company has the option to
lock-in maintenance fees by purchasing a years worth
of services in advance.
18. Company agrees that the Consultants fees are based
on the amount of time invested on an hourly basis. As such,
only a specific number of hours of consulting are including
in each of the packages. Should those hours be exhausted,
additional investment may be required.
19. Company agrees that any testimonial or opinion given
with respect to the Consultants services, may be used
in the Consultants marketing materials, and this agreement
constitutes as written release of any rights by the Company
or the Companys authorized agent to do so.
